U Design It Sofa Company Order Policy

 

Each piece is specially manufactured for you after you place an order. In this way, our products are different from the merchandise available. When a product is custom-made to your specifications, it is not suitable for resale in the ordinary course of business. Once your order has been placed and payment of your deposit has been authorized, your order may not be canceled at any point thereafter. This agreement is binding upon signature by the laws of the State of California.

 

Buyer’s Obligations

U Design It Sofa Company sells custom-made products specially made for a particular Buyer and to that Buyer’s specifications. Our products are manufactured only after the order is placed and are not suitable for resale to any other customer in the ordinary course of business. Buyer may not cancel an order once placed via telephone, fax, e-mail, internet or in person and payment of the deposit is authorized. No further confirmation between Buyer and Seller is necessary in order to become obligated to perform after the deposit is accepted by Seller.

 

Indemnification

Buyer agrees to defend, indemnify and hold Seller harmless from any claim or demand including and without limitation. Seller’s reasonable attorney fees incurred, made by any second or third party due to the violation of these terms and conditions, an infringement by Buyer or another user of the goods manufactured by the Seller or other relevant property or other relevant property or other rights of any person or entity.

Manufacturing Tolerance

Seller guarantees that each custom furniture order is manufactured within a tolerance of two inches (2’’) or ninety to ninety-five percent (90-95%) for any dimensions based on Buyer’s specification, consistent with currency with current industry standards. 

 

Textiles and Samples

Seller advises that Buyer purchases and reviews sample textiles before ordering furniture. Textiles samples are available by request from the Seller. If Buyer orders furniture without first seeing textile samples, Buyer accepts those selected textiles in “as in” condition and assumes

responsibility if textiles appear differently than they appeared on Buyer’s original date of and method of viewing the textiles (cell phone, computer monitor, etc.) Textiles and textile samples are subject to availability. Textiles samples due to size may not represent a full pattern perspective of the design. Dye lots may vary slightly from one sample to another and overall when applied to the upholstery. Natural fiber textiles lot will each have their own unique characteristics including variation in color, grain and natural markings. The characteristics are not flaws; rather they are unique features inherent to leather. Textile samples do not constitute a warranty and Seller does not warrant that the textile used on any particular item of furniture will precisely match the texture, color of any particular sample of that textile.

 

 

Payment

Full (100%) non-refundable payment is due on all orders at the time the order is placed via telephone, fax, email, internet or in person. The dollar amount of this deposit is based on the (gross) total of the merchandise (including tax, shipping & delivery). The remaining balance is due prior to shipment or delivery of the order.

 

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

 

Binding Arbitration

Any dispute between Buyer and Seller of any kind, whether for breach of contract, breach of warrant personal injury or otherwise, and whether arising out of contract, tort, any statutory scheme or otherwise, shall be resolved solely by final and binding arbitration conducted in California, pursuant to the rules and procedures of the American Arbitration Association applicable to commercial disputes, and shall not be the subject of any judicial action, other than to review or enforce any arbitration award as otherwise allowed by California law. The prevailing party in any arbitration shall, in addition to any remedy permitted, recover from the other its attorney fees and costs reasonably incurred.

 

Acknowledgment and Acceptance of Terms of Purchase

By placing an order with U Design It Sofa Company, you agree to be bound by the terms and conditions stated in this agreement.

 

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, U DESIGN IT SOFA COMPANY RESERVES THE RIGHT TO REFUSE BUSINESS WITH ANY PARTY.
